OCTK Restaurant OS Terms of Service

These Terms are accepted through a clear affirmative action at the point where an account or a paid subscription is created, and the version accepted is recorded against that account.

Account creation and paid subscription are not currently open. While they are closed, no acceptance is collected and no agreement is formed through this website. The mechanism described above is the one that will apply when they open, and it is stated here so that the method of acceptance is known in advance rather than presented at the moment of signing.

The person creating an account must have the required legal capacity and appropriate authority when acting for a business or legal entity.

OCTK Restaurant OS is restaurant-management software offered as a service. Available scope follows the plan, products and add-ons actually selected and configured for the customer.

A feature that is unpublished, inactive or described as coming in the future is not a guaranteed part of the current subscription unless expressly stated otherwise.

The customer must provide accurate, current information, keep sign-in credentials confidential and take reasonable measures to prevent unauthorized use of the account.

OCTK must be notified without undue delay when unauthorized account access is known or suspected.

The Customer is responsible for keeping the primary contact details associated with its account up to date so OCTK can send important notices concerning the service, subscription, or important legal or security matters.

The customer is responsible for granting and managing permissions for its users according to their duties and for withdrawing those permissions when no longer needed.

A customer may not use another person’s account or permissions without authorization.

Plans, features and prices vary according to the selected Business Country, market status and available plan.

The binding transaction price is the price clearly shown on the pricing page, order summary and checkout stage before subscription confirmation.

OCTK prices are not calculated using direct real-time currency conversion unless OCTK expressly announces that such a mechanism applies.

When the free trial is available, OCTK shows its duration and terms before it begins.

The free-trial duration is 7 days. No payment card is required under the currently configured trial rule.

No charge may be made merely for starting the free trial unless conversion to a paid subscription and the charging mechanism were clearly shown and the required authorization was obtained.

Access to paid services ends after the trial if the customer does not start an eligible subscription, according to the account and system state.

Before payment, the customer must be shown the subscription amount, add-ons, applicable taxes or fees, and total payable.

Taxes are handled according to the service provider’s actual tax status and current Egyptian law. A general tax percentage shown for reference is not a substitute for calculating the amount actually due for the transaction.

Payment uses methods made available by OCTK for the selected market at the time of the transaction and may be processed by an independent payment-service provider.

OCTK and provider responsibilities follow the actual technical and contractual architecture. The site may not claim that OCTK does not receive or store a type of payment data unless technically true.

Before an automatically renewing subscription is created, the customer must be clearly told that it renews automatically, the renewal cycle, the price or how it is determined, and how to stop renewal.

If a subscription does not renew automatically, no wording suggesting otherwise is displayed.

A plan upgrade or downgrade follows the billing rules shown when the change is made. Any additional amount or effect on the billing date is shown before confirmation.

The customer may request subscription cancellation through the cancellation mechanism available to the account.

Cancellation does not automatically refund amounts already collected. Any refund follows the Refund Policy and mandatory legal rights.

OCTK may suspend all or part of access for a legitimate reason, including unpaid amounts, security risk, unlawful use, attempted unauthorized access, or a material breach of these Terms.

Where possible and appropriate, OCTK seeks to notify the customer and allow a reasonable opportunity to address the issue before suspension, except where immediate action is required for security or legal reasons.

The customer may terminate under the cancellation terms, and OCTK may terminate for an unresolved material breach or legitimate legal reason.

After termination the account and its data are retained for 30 days before permanent deletion. Throughout that period the termination can be reversed by the account owner, and data export remains available. Deletion at the end of the period is permanent and cannot be undone.

Deletion is not carried out automatically on a timer where an account holds a live restaurant’s records: the end of the retention period is acted on by a person.

Amounts already due for a period of service provided remain payable, and any refund follows the Refund Policy.

An account whose subscription has expired and which shows no usage for 60 days afterwards is treated as dormant.

Dormancy is not termination and does not delete anything. A dormant account is surfaced to OCTK so that the customer can be contacted, and it remains subject to the ordinary termination process if it is ever ended.

No account is deleted because it has gone unused. Deletion follows termination and the retention period described above, and is decided by a person.

The customer retains its rights in business content and data added to the system. Use of OCTK Restaurant OS does not transfer ownership of that data to OCTK.

The customer authorizes OCTK to process that data only as necessary to provide, secure, operate and support the service and meet legal obligations, under the Privacy Notice and DPA where applicable.

Personal data is handled under the Privacy Notice and applicable Egyptian personal-data-protection law, regulations and decisions.

OCTK may act as controller for some processing and processor for other processing according to the actual purpose and the party determining its purposes and means.

Some service functions may depend on third parties such as payment, hosting, communications, maps or integration services.

Only actual services are named, and additional provider terms or policies may apply.

All intellectual-property rights in OCTK Restaurant OS software, designs, trademarks, original materials, documentation and proprietary technologies remain with their rights holders.

A subscription gives the customer a limited right to use the service during the subscription term and does not transfer ownership of the software, source code or other intellectual property.

The following activities are prohibited:

• Attempting to breach the system.
• Unauthorized access.
• Accessing another customer’s data.
• Introducing malicious software.
• Intentionally disrupting the service.
• Misusing APIs.
• Using the service for unlawful activity.
• Circumventing security or subscription controls.
• Copying, extracting or reverse engineering protected parts of the system contrary to law and established rights.

OCTK works to maintain service availability and stability, but software and internet services may be affected by maintenance, faults or events outside reasonable control.

No specific uptime percentage is displayed or guaranteed unless an approved Service Level Agreement expressly provides it.

OCTK may develop, repair, improve and update the system, interfaces and components. A material change affecting the paid service is handled consistently with contract and law.

OCTK provides its officially published support channels. Response time, support hours and service levels are included only when actually approved.

Liability limits in these Terms apply to the maximum extent permitted by Egyptian law. No provision excludes or limits liability that cannot legally be excluded or limited.

OCTK is not responsible for damage or loss arising solely from acts of the customer or its users, inaccurate customer-supplied data, or third-party systems outside OCTK’s control, without prejudice to liability established under law or contract.

A party is not responsible for delay or non-performance caused directly by an event outside reasonable control to the extent it actually prevents performance, while taking reasonable steps to limit effects and resume performance when possible.

This does not automatically excuse obligations unaffected by the event.

These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt, subject to any mandatory rules that apply.

OCTK Restaurant OS is offered in seven markets, and this is the only instrument governing its use in all of them. There is no separate national version for any other market, and none is implied. A customer outside Egypt contracts under Egyptian law, and this is stated plainly so that it is understood before an account is created rather than discovered in a dispute.

Mandatory consumer or commercial protections available to a customer under the law of its own country are not excluded by this clause where they apply.

The parties first seek to resolve any dispute relating to the service amicably through official communication. If resolution is not possible, recourse is to the competent judicial authority under the jurisdiction rules established by Egyptian law, unless another legally valid agreement exists between the parties.

These Terms may be updated for legal, operational or commercial changes. Each version identifies its last-updated date, effective date and version number.

If a change is material, affected customers are notified appropriately before the change takes effect when required by law or the nature of the change, and renewed acceptance is requested where legally or contractually necessary.
